Terms of Service

By using the website delegaai.ai ("the Site") and/or contracting the services of Smallcap Market Systems LLC ("DelegaAI", "we", "us"), you agree to the following terms and conditions.

1. Services

DelegaAI offers enterprise automation services powered by artificial intelligence, including but not limited to: real-time dashboards, intelligent bots, automated invoicing, automated reports, systems integration, and AI-powered sales agents.

The specific services, scope, timeline, and pricing are defined in a written commercial proposal before the start of any project.

2. Use of the Website

• The content of the Site is informational and does not constitute a binding offer
• Calculators and simulators provide estimates based on public formulas — actual results may vary
• You agree not to use the Site for illegal, fraudulent, or harmful purposes
• The website chat is a demonstration with fictitious data and is limited to 4 queries per day

3. Service Engagement

• Service engagement is formalized through a commercial proposal signed by both parties
• Prices are in US dollars (USD) unless otherwise agreed in writing
• The base license is $500 USD per month and includes technical support, maintenance, and updates
• Implementation pricing varies depending on project complexity (from $500 to $50,000 USD depending on the automations and integrations required)
• Payments are made according to the schedule agreed upon in the commercial proposal

4. Intellectual Property

• Source code developed specifically for the client is the property of the client
• Client data is and remains the exclusive property of the client
• Generic tools, frameworks, and methodologies of DelegaAI are the property of DelegaAI
• The "DelegaAI" brand, logo, and Site content are the property of Smallcap Market Systems LLC
• Reproduction, distribution, or modification of the Site content without prior written authorization is not permitted

5. Confidentiality

Both parties agree to maintain the confidentiality of information shared during the business relationship. DelegaAI will never share, sell, or use client data for purposes other than delivering the contracted service. An additional non-disclosure agreement (NDA) can be signed if the client requires it.

6. Limitation of Liability

• DelegaAI does not guarantee specific savings results — estimates are based on industry formulas and averages
• DelegaAI is not liable for interruptions caused by third parties (cloud providers, external APIs, telecommunications networks)
• DelegaAI's maximum liability is limited to the total amount paid by the client in the 12 months preceding the incident
• DelegaAI is not liable for indirect, consequential, or lost profit damages

7. Service Level Agreement (SLA)

• Target availability: 99.5% monthly for production systems
• Critical incident response time: maximum 4 hours
• Technical support included: Monday to Friday, 9 AM - 6 PM (Mexico City time)
• Emergency support: 24/7 for clients with an active license

8. Cancellation and Termination

• The client may cancel the monthly license with 30 days' prior written notice
• There is no cancellation penalty
• Upon cancellation, the client retains their code and data
• DelegaAI will provide reasonable assistance for data migration
• DelegaAI reserves the right to terminate the service if the client breaches these terms or fails to make agreed payments

9. Governing Law and Jurisdiction

These terms are governed by the laws of the State of Wyoming, United States. Any dispute shall preferably be resolved through direct negotiation. If no agreement is reached, the parties submit to the jurisdiction of the competent courts of the State of Wyoming.

10. Modifications

DelegaAI reserves the right to modify these terms. Modifications take effect upon publication on the Site. Continued use of the Site or services after a modification constitutes acceptance of the new terms.
